Use of the information network and the services operated by PRICO Online Ltd. on the internet is subject to all applicable law and to the terms of use below, as may be determined from time to time by PRICO Online Ltd. (hereinafter: the “Terms of Use”).
The Terms of Use are written in the masculine for convenience only and apply equally to all genders.

Introduction

Through this online service, via the website at the addresses prico.com and prico.co.il (hereinafter: the “Website” and the “Service,” respectively), transactions may be carried out. In any case, a user’s request for a service or notice of a transaction shall be deemed an offer by the user, which shall be subject to acceptance by PRICO Online Ltd. A transaction will be concluded only after explicit acceptance by PRICO Online Ltd. of the user’s request.

“User” means any individual and/or corporation and/or any legal entity capable of undertaking the obligations arising from performing actions on the Website, who enters the Website for the purpose of collecting and/or reading information and/or uses the Service, registers and/or places an order and/or receives a username and/or account and/or password.

A user may perform actions on the Website provided that all of the following cumulative conditions are met:

A. The user has a valid account with PRICO Online Ltd.—since a condition for completing a transaction is the approval of the financial institution that extended the credit facility to PRICO Online Ltd.—or holds a valid credit card in Israel issued by one of the credit card companies authorized to operate in Israel, or holds the explicit authorization of such a cardholder, since a condition for completing the transaction is the credit card company’s confirmation that the card is valid and that the cardholder is able to execute the transaction.

B. The user has an email inbox on the internet, and any message sent to that inbox by the Website operators and/or PRICO Online Ltd. shall be deemed to have been received immediately by the user.

“PRICO Online Ltd.” means this company, its affiliates, the PRICO Group and the companies included in it, including employees, representatives, and anyone acting on behalf of any of the foregoing entities.

User Account and Password Protection

Upon joining the Website, you will be provided with a user account and allocated a password for personal service (hereinafter: the “Password”), through which communication with the Service on the Website will be carried out.
You accept sole responsibility for maintaining the confidentiality of the Password and your user account.
You accept full responsibility for all actions and/or activities carried out under your user account and/or under your Password, and full responsibility for any use and/or breach of the confidentiality of the Password and/or user account provided to you, whether any damage is caused thereby or not.
If you believe your account and/or Password has been used unlawfully, you undertake to notify PRICO Online Ltd. immediately without delay and to cooperate with PRICO Online Ltd. to resolve the issue. For the avoidance of doubt, such notice does not release you from responsibility for any damage caused due to another’s use of your account and/or Password.

Use of Content and Intellectual Property

The Website includes information, products, services, software, graphics, images, links, and other content (hereinafter: the “Content”). The Content is protected by copyrights, trademarks, and other rights of PRICO Online Ltd. and of other entities. All information and materials on the Website, including Content, music, video, and other media appearing on the Website, are protected by copyrights, trademarks, and other proprietary rights. The Website as a work is protected by copyright. Use of the Website requires users to act in accordance with these rights and does not grant any copyright and/or other intellectual property right to the user. The trademarks on the Website (except for marks of advertisers on the Website) are the exclusive property of PRICO Online Ltd., and may not be used without its prior written consent.

Use of the Content is for the user’s private purposes only. You may not alter, publish, broadcast, transmit, copy, duplicate, display, sell, offer for sale, distribute, publicly perform, or make any commercial use of the Content or any part thereof, except with prior written permission from PRICO Online Ltd.

You undertake toward PRICO Online Ltd. not to make any use of the Website and/or the Content and/or the information and/or software and/or products and/or services for any unlawful purpose and/or for any purpose or manner prohibited by these Terms of Use. The Website may contain links to other websites as a service to Website users. PRICO Online Ltd. does not endorse those sites and/or the information, content, products, and/or services appearing on or accessible through them—and the use of them, including receipt of information, content, products, and services, is at the user’s sole responsibility.

User-Generated Content

The PRICO Online Ltd. network includes, among other things, chat channels, databases, websites, and additional applications (hereinafter: the “Platforms”), which allow users to upload texts, images, software, files of various types, information, links, and other content (hereinafter: the “User Content”) to the network.

Users must not upload content whose upload and/or content is unlawful and/or intended for unlawful purposes and/or harms the operation of the network. Without limitation, it is forbidden to upload content of the following types:

A. Content of a pornographic nature and/or defamation, incitement, racism, and/or harassment.

B. Content constituting libel and/or harm, insult, humiliation, and/or offense to feelings and/or beliefs.

C. Content containing viruses and/or capable of otherwise causing damage to the network and/or its users.

D. Content of a commercial and/or advertising nature.

In addition, a user may upload only content that belongs to the user and/or content the user has received explicit written permission from its owners to upload. Uploading content by a user constitutes a declaration by the user that, to the best of the user’s knowledge, uploading the content does not constitute a violation of any law and/or infringement of copyright—including under the Copyright Law, the Copyright Ordinance, and the regulations enacted thereunder—and/or of any other rights of third parties, and that it contains nothing that harms and/or may harm any party and/or constitutes defamation of any party, including contrary to the Prohibition of Defamation Law, 1965 and/or the Protection of Privacy Law, 1981.

PRICO Online Ltd. does not monitor and cannot monitor content uploaded to the network by users via the Platforms and is not responsible in any way for any such content and does not undertake to remove such content from the network if uploaded by any user.

Inconsistency

In any case of inconsistency between information published in the Service and the details in the user’s bank account and/or in a financial institution and/or data of the Bank of Israel and/or official publications or original written documents, the bank accounts and/or the financial institution and/or the Bank of Israel data and/or the official or original written publications shall be deemed binding.

Please note, PRICO Online Ltd. makes reasonable efforts to ensure that the material on the Website is accurate and up to date. Nevertheless, you must not rely on this material for any commercial transaction or for any other use with financial or economic significance without first verifying the accuracy and correctness of the material from another external source. You should also remember that this information does not constitute a substitute for consultation with appropriate professionals. The Service does not constitute an offer to contract with PRICO Online Ltd. and/or a commitment by PRICO Online Ltd. to contract with the user.

The Service and the content published on the Website do not constitute the provision of advice regarding the feasibility of investing in, holding, buying, or selling securities or financial assets, and should not be considered an opinion, recommendation, or offer to purchase and/or sell and/or hold any securities or financial assets. PRICO Online Ltd. Liability

By their nature, such changes may involve malfunctions and/or cause initial inconvenience, etc. You hereby confirm that you will have no claim, demand, and/or suit against PRICO Online Ltd. for making such changes and/or for malfunctions occurring due to their implementation.

Any notice or information published in any of the sections and/or services on the Website may be deleted after a period of time. PRICO Online Ltd. does not undertake that information found by the user or someone on the user’s behalf on the Website at a certain time will continue to be published thereafter.

PRICO Online Ltd. bears no liability for the suitability of the Service to the user’s needs.

The information, software, products, services, Content, and all related items on the Website are offered to the user “AS IS,” without any commitment. PRICO Online Ltd. and/or anyone on its behalf shall bear no liability with respect to the information, software, products, services, Content, and all related items, including any warranty of merchantability, fitness for a particular purpose, title, and/or non-infringement.

The user hereby declares awareness of the many risks arising from the use of the Website and the internet, both due to the technology involved and due to the human factors operating via the internet. PRICO Online Ltd. does not promise any outcomes as a result of using this Website and/or its contents and/or the materials found on it; therefore, you understand and agree that you will have no claim, demand, and/or suit against PRICO Online Ltd. if you do not achieve the result you expected and/or intended. Please note: past performance is not an indication and/or guarantee and/or measure of future results.

Suspension of Services

PRICO Online Ltd. may at any time cease the operation of the Website and the use of its services, including, without limitation, the commercial services offered on it and links to other sites, in whole or in part, without prior notice. PRICO Online Ltd. may refuse to grant access to the Website or parts of it to any user, at its sole discretion and without prior notice.

Privacy

The personal details you provided and will provide when placing an order, as well as the details of purchases you make, will be stored in PRICO Online Ltd.’s database.

Note that making purchases under a false name and/or using false and/or fabricated details with the intention to defraud and/or impersonate another person or entity constitutes a criminal offense under the Penal Law, 1977, and is strictly prohibited. In addition to criminal liability for such actions, PRICO Online Ltd. reserves the right to cancel any purchase discovered and/or suspected, at its sole discretion, to be an attempt to defraud as stated, and to take any legal and/or other measures available to it against those performing such prohibited actions, including a civil claim for damages caused and/or to be caused and/or that may be caused to it and/or to anyone on its behalf and/or to any third parties in connection with such actions.

PRICO Online Ltd. shall not be responsible for any unlawful, fraudulent, and/or unauthorized misuse of a credit card and/or facilities and/or the credit facility granted to the user by relevant financial institutions for the purpose of performing an action on the Website.
In addition, you undertake and agree to indemnify PRICO Online Ltd. and its agents, defend them, and hold them harmless from and against any and all liabilities, losses, damages, causes of action, claims, demands, and/or expenses (including legal fees) related to your breach of the Terms of Use and/or any action of yours related to the Website.

PRICO Online Ltd. will not transfer your personal details to a third party, except as necessary to complete purchases you have made on the Website. Although you are not legally obligated to provide your personal details, we will be unable to process your order if we do not receive them.

PRICO Online Ltd. may send you emails and contact you in writing and/or orally with information regarding your activity on the Website, promotions at PRICO Online Ltd., updates to the Website, advertisements from broad commercial entities, and similar communications.

Therefore, you hereby declare that you will have no claim and/or demand and/or suit against PRICO Online Ltd. and/or anyone on its behalf due to such intrusions, breaches, malfunctions, and/or disruptions.

Furthermore, no computer application or other means may be operated or permitted to operate, including software such as crawlers, robots, and the like, that scan, copy, and/or retrieve, in whole or in part, information and content from the Website. This includes creating and using such means to compile a collection, compilation, or database containing content from the Website. This prohibition does not apply to the operation of general search engines that link directly to the Website.

The user is aware that from time to time there may be requirements to disclose the identities of users on the Website. We do not disclose users’ identities unless we are legally and/or judicially required to do so.

Governing Law and Jurisdiction

The law governing your order, the Service, the Website, the Terms of Use, and your relationship with PRICO Online Ltd. is exclusively the law of the State of Israel. Exclusive jurisdiction for any matter and dispute shall lie with the competent courts in the Tel Aviv District only.

Disruption of Website Operation

If factors or events beyond the control of PRICO Online Ltd. and/or beyond the control of the Website owners and/or operators delay or prevent the conduct of commerce on the Website in any manner, or the supply of products and/or services published on the Website by the scheduled dates and/or the fulfillment of any other obligation, or if malfunctions in computing and/or telephone systems and/or communication systems prevent completion of a purchase and/or sale and/or supply process, or if due to hostilities and/or a security event and/or any sabotage, the purchase and/or sale of products and/or services and/or their supply on time is prevented, the Website manager on behalf of PRICO Online Ltd. or the manager of PRICO Online Ltd. may notify of the cancellation of the purchase and/or sale (in whole or in part) of the user and/or buyers, all or some of them.

Updates to the Terms of Use

PRICO Online Ltd. reserves the exclusive right to change, delete, and/or add terms to the Terms of Use and generally, at any time and without prior notice and at its sole discretion.
PRICO Online Ltd. will post the updated Terms of Use on the Website immediately upon amendment.
If a competent court determines that any provision of the Terms of Use is contrary to law, such provision shall be deemed redrafted to reflect, as closely as possible, the parties’ original intentions in accordance with law—and the remainder of the Terms of Use shall remain in full force and effect.
PRICO Online Ltd. shall be entitled to exercise its rights, in whole or in part, whenever it deems appropriate—and in any case where it does not do so, such failure shall not be deemed a waiver and/or consent and/or estoppel—and it may exercise its rights, in whole or in part, at its discretion.
Wherever there is a conflict and/or inconsistency between the Terms of Use and other parts of the Website, the Terms of Use shall prevail.
If it is determined that PRICO Online Ltd. must compensate and/or indemnify a user for any reason, the amount of compensation and/or indemnification shall not exceed the amount received by PRICO Online Ltd. from that user as a result of actions performed by the user through the Website.
The user accepts and agrees to all of the above. Use of the network and/or the Website and/or the Service constitutes full consent to all the conditions set out in the Terms of Use. Approval of entry to the Website and/or confirmation of order details and/or their dispatch shall constitute proof of such consent.
